Anyone, regardless of nationality, who is at least 18 years old and has not been declared bankrupt may set up a company in Singapore.

  • Here are the following requirements for setting up a Singapore company:
  • At least one director must be a natural person over the age of 18 and a Singapore resident.
  • A natural person who is a shareholder can also be a director of the company.
  • A qualified company secretary who should be a Singapore resident.
  • A registered office address in Singapore.
  • A paid-up capital of at least $1.

That is unfortunately not possible. All foreigners are required by the Singapore Company Law to use the services of a licensed corporate service provider to incorporate a company in Singapore.

You do not need to be physically present in Singapore to set up a company. Without your physical presence in Singapore, all paperwork related to incorporation can be completed online. However, the bank authorities may demand an interview with one or more of the company’s key personnel as part of the KYC procedures. Meanwhile, you might be required visit to Singapore for the purpose of opening a bank account. 

Yes, a foreign person or entity may own 100% of a Singapore company, as stated in The Singapore Companies Act. The company is not subject to any limitations regarding the kinds of business activities it may engage in, and no special authorisations are needed. As a result, when it comes to forming a Singapore company and conducting business in the country, the Singapore Companies Act does not make a distinction between local and foreign persons or entities. 

There are several business structures for individuals or foreign companies who want to conduct business in Singapore:

However, the overall process could take a day or even a few weeks depending on various factors like gathering the required documents, name reservation and signing of incorporation documents.

Fortunately, Singapore has few formalities and doesn’t require licenses for most businesses. The total amount of capital paid in full by the company’s shareholders is referred to as paid-up capital, also known as equity or share capital. A Singapore company must have $1 in paid-up capital as a minimum. However, a higher paid-up capital may be necessary as part of the licensing requirements if the company is regulated and needs a license. 

Yes. Within six months of incorporation, all Singapore companies are required to appoint a company secretary. The company secretary is in charge of communicating with the regulatory bodies in Singapore, submitting required paperwork and guiding directors on compliance and legal obligations.
